Vendor Agreement

This agreement ("Agreement") is made effective as of today, between Under The Sun (hereinafter referred to as the “Festival”) and ______________________ (hereinafter referred to as the "Vendor"), collectively referred to as the "Parties".

1. EVENT DETAILS

The Parties agree to participate in Under The Sun hosted at KERNS FOOD HALL located at 2110 Chapman Highway, Knoxville, TN, on June 14th, 2024 from 12pm EST to 5pm EST.

2. DELIVERABLES

Vendors are responsible for providing and setting up their own equipment. At the conclusion of the event, Vendor is responsible for any necessary cleanup within Vendor’s designated area. Failure to do so will result in a twenty ($20) dollar cleaning fee. Vendors shall occupy spaces designated for Vendors, including those situated outside the Festival building.

3. SPACE LIMITATIONS

The space allocated to each vendor is limited and must be respected. Any additional space requirements must be approved by the event organizer in advance.

4. FEES

Vendor shall pay a non-refundable fee of fifty ($50) dollars. This fee secures their participation in the Festival.

5. INDEMNIFICATION

Each Vendor shall indemnify and hold harmless the other party, its affiliates, officers, agents, and employees from and against any and all claims, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses.

6. INSURANCE AND LIABILITY

Vendors shall maintain adequate insurance coverage for their activities during the event, including general liability insurance. The Festival and any related parties are not responsible for any damages or accidents caused by Vendor while at Festival.

7. TERMINATION

Either party may terminate this agreement within 7 days of the Festival day upon written notice to the other party if either party breaches any material term of this agreement. In the event of breaches by the Festival, Vendor shall receive a non-refundable deposit of fifty ($50) dollars.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Tennessee, USA.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

By purchasing a pass, the Parties acknowledge that they have read, understood, and agreed to all the terms and conditions of this Agreement.
